Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Proxima LLC ("Proxima," "we," "us," or "our") governing your access to and use of the Proxima platform and related services.

By accessing or using Proxima, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Beta Service Disclaimer

Proxima is currently in beta. The service is provided "as is" and "as available" without warranties of any kind. Features may change, be modified, or removed at any time. We may offer opt-in access to experimental features through feature flags. By using beta features, you acknowledge they may be unstable or incomplete.

Eligibility

You must be at least 18 years old to use Proxima. By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

Service Description

Proxima is an event collaboration platform connecting venues, promoters, and talent. Our services include event management tools, real-time collaboration features, communication tools, and AI-assisted features to help coordinate live events.

Pricing and Payment

During the beta period, Proxima is available free of charge. Upon full launch, we plan to offer the following pricing tiers:

  • Grow: $25 per seat per month
  • Pro: $40 per seat per month

Pricing is subject to change. We will provide notice of any pricing changes before they take effect. Beta users may be eligible for special founding member pricing.

Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others, including intellectual property rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the service to send spam or unsolicited communications
  • Interfere with the proper functioning of the service
  • Scrape, data mine, or collect information without permission
  • Impersonate any person or entity
  • Use the service for any illegal or unauthorized purpose

Artificial Intelligence Features

Proxima incorporates AI-powered features to enhance your experience. By using these features, you acknowledge that:

  • AI-generated content is provided for assistance and may require human review
  • AI outputs may not always be accurate, complete, or appropriate
  • You are responsible for reviewing and verifying AI-assisted content before use
  • You may select your preferred AI model where options are available
  • AI features are subject to the capabilities and limitations of underlying AI providers

User Content

You retain ownership of content you create on Proxima. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide our services.

You are solely responsible for your content and represent that you have all necessary rights to post it. We may remove content that violates these Terms or applicable law.

Intellectual Property

Proxima and its original content, features, and functionality are owned by Proxima LLC and are protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.

Limitation of Liability

To the maximum extent permitted by law, Proxima LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use our services.

Our total liability for any claims arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Indemnification

You agree to indemnify, defend, and hold harmless Proxima LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

Termination

We may terminate or suspend your account and access to the service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may terminate your account at any time by contacting us. Upon termination, your right to use the service will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the service shall be resolved in the courts of Delaware.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and revising the "Last updated" date. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
